Terms of Use
Welcome to FoodAte. These Terms of Use (“Terms”) are a binding agreement between you and FoodAte, Inc. (“FoodAte,” “we,” “us,” or “our”). By accessing or using the FoodAte mobile application, website, and related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By downloading, installing, or using FoodAte, you confirm that you: · Are at least 16 years of age · have the legal capacity to enter into a binding agreement · are not prohibited from using the Service under applicable law If you are using FoodAte on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. The FoodAte Service
FoodAte provides a calorie-sharing social platform that allows users to: · Photograph meals and receive automated calorie and nutritional estimates · Log meals in a personal calorie diary · Discover restaurants and view calorie-related restaurant data · Track food spending · Share meal content and interact with other users within the FoodAte community We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Account Registration & Security
To access most features of FoodAte, you must create an account. You agree to: · Provide accurate, current, and complete registration information · Maintain and promptly update your information to keep it accurate · Keep your password secure and confidential · Notify us immediately of any unauthorised access to your account · Accept all responsibility for activities that occur under your account We reserve the right to suspend or terminate accounts that violate these Terms or that we deem fraudulent, harmful, or in violation of applicable law.
4. Acceptable Use
You agree NOT to use FoodAte to: · Upload content that is unlawful, defamatory, obscene, hateful, harassing, or discriminatory · Impersonate any person or entity, or falsely represent your affiliation · Upload photos of meals you did not consume or misrepresent calorie data · Spam, harass, or abuse other users · Upload content containing malware, viruses, or other harmful code · Attempt to gain unauthorised access to any part of the Service · Use automated tools (bots, scrapers) without our written permission · Reverse engineer, decompile, or disassemble the FoodAte application · Violate any applicable local, state, national, or international law · Collect or harvest any user's personal information without consent You are solely responsible for all content you post through the Service.
5. User-Generated Content
When you post, upload, or share content through FoodAte (including meal photos, reviews, diary entries, and comments), you: · retain all ownership rights in your content · grant FoodAte a non-exclusive, royalty-free, worldwide, transferable, sublicensable licence to use, reproduce, modify, distribute, publicly display, and create derivative works from your content for the purpose of operating and promoting the Service · agree that other users may view and interact with your publicly shared content · understand that publicly shared content may remain visible after account deletion You represent that you own or have the necessary rights to all content you post, and that such content does not infringe on the rights of any third party.
6. Intellectual Property
FoodAte and its original content, features, and functionality are owned by FoodAte, Inc. and are protected by international copyright, trademark, patent, and other intellectual property laws. You may not use our trademarks, logos, or branding without our prior written consent. All third-party content (including restaurant information and nutritional data) is used under licence or is provided for informational purposes only.
7. Calorie Estimates & Health Disclaimer
The calorie and nutritional estimates provided by FoodAte are generated using automated AI analysis and are approximations only. They are NOT: · a substitute for professional medical or nutritional advice · guaranteed to be accurate for every individual or preparation method · intended for use in diagnosing or treating any health condition Always consult a qualified healthcare professional (e.g., physician, registered dietitian) before making dietary decisions, especially if you have health conditions, allergies, or dietary restrictions. FoodAte makes no warranties about the accuracy of calorie estimates.
8. Fees & Subscriptions
Some features of FoodAte may require a paid subscription. If you purchase a subscription: · You authorise us to charge the applicable fees to your payment method · Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period · Refunds are provided at our discretion, except as required by applicable law · We reserve the right to change subscription pricing with 30 days' prior notice Free features are subject to change or removal at any time.
9. Third-Party Services
FoodAte may integrate with or display content from third-party services, including restaurant platforms, social networks, and payment processors. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services.
10. Service Availability
We strive to keep FoodAte available 24/7, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or loss of data resulting from such events.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that: · the Service will be error-free, accurate, or uninterrupted · any errors in the Service will be corrected · the Service will meet your specific requirements or expectations · the results from using the Service will be accurate or reliable
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOODATE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR: · ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES · LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES · DAMAGES ARISING FROM YOUR USE OF OR RELIANCE ON CALORIE/NUTRITIONAL ESTIMATES · ANY DAMAGES RESULTING FROM ERRORS, OMISSIONS, OR INACCURACIES IN THIRD-PARTY CONTENT · ANY UNAUTHORISED ACCESS TO YOUR ACCOUNT OR DATA OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless FoodAte, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: · your violation of these Terms · your misuse of the Service · your infringement of any third-party rights · your User-Generated Content
14. Modifications to Terms
We may revise these Terms at any time by posting the updated version on this page and updating the “Effective date” above. Significant changes will be communicated through the app or via email. Your continued use of FoodAte after any modification constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
15. Termination
You may terminate your FoodAte account at any time by deleting the app and contacting support. We may suspend or terminate your account immediately, without prior notice, if we believe you have violated these Terms, applicable law, or if your conduct is harmful to FoodAte or other users. Upon termination: your right to use the Service ceases immediately; provisions that by their nature should survive termination will remain in effect (including disclaimers, limitations of liability, and indemnification).
16. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FoodAte, Inc. is registered, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, either party may pursue other legal remedies available under applicable law. You acknowledge that any breach of Sections 4 (Acceptable Use), 5 (User-Generated Content), or 6 (Intellectual Property) may cause irreparable harm to FoodAte for which monetary damages may be inadequate, and you consent to injunctive relief.
